Terms of Service

The agreement between you and [Legal entity name] for use of Application. Acceptable use and availability goals are included here.

Last updated September 30, 2026

Draft for counsel — not legal advice. Placeholders such as [Legal entity name], [Jurisdiction], and [privacy@…] must be confirmed before publication.

1. Acceptance of Terms

These Terms of Service (“Terms”) form a binding agreement between you and [Legal entity name] (“we”, “us”) for access to and use of Application.

By creating an account, accessing the service, or using the Integration API, you agree to these Terms and our Privacy Policy. If you use Application on behalf of a company, you represent that you have authority to bind that company.

2. Description of Service

Application is a multi-business operations platform. It helps business owners and invited team members manage day-to-day CRM and operations work for one or more Businesses.

  • Team invitations, roles, and membership within a Business
  • Catalog: products and services
  • Parties: customers, clients, companies, and contacts
  • Invoices, quotes, and expenses
  • Subscriptions and plan management
  • Scoped Integration API credentials (Business Applications)
  • Optional business outbound email provider settings

Application is not a consumer storefront or checkout product. Features may vary by plan and may change over time.

3. Accounts & Businesses

You sign in with email and password. We may require email verification and re-authentication for sensitive actions. Sessions are maintained with an httpOnly session cookie.

Business tenancy

  • The tenancy unit is a Business. You may belong to more than one Business.
  • Business owners and invited members operate data inside each Business according to roles and permissions.
  • You are responsible for keeping credentials confidential and for activity under your account.
  • Many resources use soft-delete. Account self-deletion is not available as a self-serve API; contact us for account closure requests.

4. Acceptable use

These rules apply to everyone who uses Application — including Business owners, team members, and Integration API clients. Acceptable use is part of these Terms (there is no separate AUP page).

You may not use Application to:

  • Violate law, regulation, or third-party rights (including privacy and intellectual property)
  • Store or distribute malware, phishing content, or other harmful material
  • Harass, defraud, or impersonate others
  • Process special-category or regulated data unless you have a lawful basis and we have agreed in writing
  • Spam or send bulk unsolicited messages using platform or Business email features
  • Attempt unauthorized access to accounts, Businesses, APIs, or infrastructure
  • Probe, scan, or load-test Application without prior written permission
  • Bypass authentication, permissions, soft-delete protections, or plan limits
  • Interfere with other customers’ use (excessive automation, open proxies, cryptomining, and similar abuse)
  • Discover or access another Business’s data

Enforcement

We may investigate suspected violations and may warn, throttle or revoke API credentials, suspend or terminate access, remove content, or report unlawful activity. Report abuse to [legal@…] or via Contact.

5. API usage & rate limits

Businesses may create Integration API credentials. Requests authenticate with X-Client-Id and X-Client-Secret headers and are limited to the scopes granted to that application.

  • Keep client secrets confidential; rotate or revoke credentials if compromised.
  • Use credentials only for the Business that owns them and within granted scopes.
  • Respect rate limits and error responses; do not hammer endpoints after failures.
  • Do not attempt to exceed granted scopes or probe other Businesses’ data.
  • Scraping the product UI as a substitute for the Integration API is not permitted when it harms the service.
  • We may throttle, suspend, or revoke API access that harms stability or security.

6. Billing, payments & refunds

Paid plans are billed in USD on a monthly basis through Stripe Checkout. Plan changes and renewals are processed via Stripe; subscription status may include trialing, paid, or past_due states. Switching to the Free plan is supported.

Refunds and cancellations are described in our Refund Policy. Free or beta access may change or end with notice as described in Changes below.

7. Availability & support

This section describes availability goals for the production Service — the web application and Integration API. Until paid SLAs are incorporated into an order form, these are operating goals, not a contractual credit schedule. (Former standalone SLA content lives here.)

We aim for 99.5% Monthly Uptime Percentage for the production dashboard and Integration API. Beta, free, or preview features are best effort.

TargetApplies to
99.5% monthly uptimeProduction dashboard and Integration API
Best effortBeta, free, or preview features
No automatic creditsUnless an order form states otherwise
  • Planned maintenance announced ahead of time is excluded from downtime.
  • Also excluded: your network or devices; optional Business email providers; Stripe/Formspree or other vendors outside our reasonable control; force majeure; misuse, AUP violations, or exhausted plan limits; and suspension under these Terms.
  • Formal service credits, if any, are defined only in an order form or paid plan schedule.

Report incidents via Contact or [support@…]. Include your Business name, approximate start time, and error samples (without secrets). See also Status & incidents.

8. Intellectual property

We and our licensors own Application, including software, branding, and documentation. These Terms do not transfer ownership of our IP to you. You receive a limited, non-exclusive right to use the service during your subscription. Feedback you provide may be used without obligation to you.

9. User content & Business data

You (or your Business) retain ownership of content and CRM/ops data you submit. For tenant CRM and operations data stored in a Business, you are typically the controller and we act as processor. For account data (such as login email and authentication activity), we act as controller. See the Data Processing Addendum and Privacy Policy.

You grant us a limited license to host, process, and display that content solely to provide and improve Application. You are responsible for having lawful rights to the personal data you upload.

10. Third-party services

Application relies on third-party services such as Stripe for payments, Formspree for public contact forms, and optional outbound email providers you configure for a Business. Where those vendors process personal data on our behalf, they are treated as subprocessors under the section below. We are not responsible for third-party outages or policy changes outside our reasonable control.

11. Subprocessors

To operate Application we engage carefully selected third parties (“subprocessors”) that process personal data on our instructions—for example hosting, databases, email delivery, and payments.

  • By using the Service you authorize engagement of subprocessors as needed to provide, secure, and improve the Service, consistent with these Terms and the Privacy Policy.
  • Our current subprocessors are listed on the Subprocessors page. That page is the authoritative list and will be updated when vendors change.
  • Where required by law, we will provide notice of material subprocessor changes through the Subprocessors page and, when appropriate, by email or in-product notice.

12. Suspension & termination

  • You may stop using Application at any time. Paid plan cancellation timing is covered in the Refund Policy.
  • We may suspend or terminate access for unpaid invoices, acceptable-use violations, legal risk, or security incidents.
  • Where reasonably practicable, we may allow a limited window to export Business data before deletion, unless law or risk requires earlier removal.
  • After termination, we may retain or delete data as described in the Privacy Policy and DPA.
  • There is no self-serve account deletion endpoint; request closure via [support@…] or [privacy@…].

13. Disclaimers & liability

Application is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

To the fullest extent permitted by law, our aggregate liability arising from these Terms or your use of Application is limited to the fees you paid us for the service in the twelve (12) months before the claim (or USD $100 if you have paid nothing). We are not liable for indirect, incidental, special, consequential, or lost-profit damages.

14. Indemnification

You will defend and indemnify [Legal entity name] against claims, damages, and expenses (including reasonable legal fees) arising from your content, your misuse of Application, your violation of these Terms or applicable law, or personal data you process through the service without adequate legal basis or rights.

15. Governing law

These Terms are governed by the laws of [Jurisdiction], without regard to conflict-of-law rules. Courts in [Venue] have exclusive jurisdiction, unless mandatory consumer protections say otherwise.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated date and may also be communicated by email or in-product notice. Continued use after the effective date constitutes acceptance of the revised Terms.
